Basics of the 19b-4 and the S-1 process: The 19b-4 “side of the house” is the document from the exchange asking for the rule change to be approved to allow for the listing of novel products. The S-1 side of the house is the disclosure document from the issuer that’s meant to provide clear and transparent info to the investor on 1) how the product works, 2) expenses, and most importantly, 3) the risks associated with the product. That way, the investor can make an informed decision.

With the 19b-4, the timeframe for the response of the SEC is predetermined; that’s why you see the deadlines in the news for when an approval or disapproval order must be provided. In the spot BTC ETF process, the Jan 2024 19b-4 deadlines were a forcing function for the timing of the launch. But with the S-1, we don’t have those same baked-in deadlines.
